James joined Boenning & Scattergood in 2004 and currently serves in a director role. He has over 10 years of investment banking experience working with public and private companies executing exclusive sale assignments, buyside transactions, financings and various other strategic advisory assignments across a broad range of industries. James has completed more than 45 transactions totaling more than $8 billion in value. Industries of particular focus include industrials, water and infrastructure and financial institutions.

Prior to joining Boenning, James worked in the diversified industrials group at Dresdner Kleinwort in New York where he focused on cross-border M&A transactions. James received his BA in economics from Carleton College and is registered with FINRA and holds Series 7 and 63 licenses.

Representative transactions include the following:

  • Sell-side advisor for OTC-listed industrial bearing manufacturer based in New York on its $125 million sale to a European acquirer. 
  • Lead placement agent for an OTC-listed water and farming resources company based in Colorado in its $7 million private placement of convertible secured notes.
  • Exclusive sell-side advisor for a NASDAQ-listed public water utility on its $200 million sale to a municipality.
  • Exclusive sell-side advisor for a privately-held defense security/demining contractor in its $60 million sale to a strategic acquirer.
  • Exclusive sell-side advisor for a Mid-Atlantic based building products and distribution company in its recapitalization with a private equity group.
  • Lead book-running manager for the $23m follow-on equity offering for a NASDAQ-listed specialty chemical company.
  • Advised a NASDAQ-listed business software and services company on a $115 million acquisition and provided a fairness opinion.

Chris joined Boenning & Scattergood’s investment banking group in April 2013 as a Director.  He has 15 years of experience in the financial services industry, including more than six years assisting community banks with mergers, capital raising and other strategic alternatives.

 

Prior to joining Boenning, Chris was a Senior Vice President with Paragon Capital Group / ParaCap Group, a boutique merchant banking firm in Cleveland.  He previously worked at full-service investment banks Stifel Nicolaus and Ryan Beck, where he advised financial institutions and real estate companies.  Chris also has experience in sell-side equity research with KeyBanc Capital Markets and buy-side analysis with Mayfair International.

 

Chris earned a BA in Economics and Mathematics with a Statistics concentration from Ohio Wesleyan University and an MBA in Finance from the McCombs School of Business at the University of Texas.  He holds the Series 7, 63, 86 and 87 licenses.

 

Representative transactions include the following:

 

  • Financial advisor and information agent for a $750 million bank in connection with a $10 million rights offering
  • Financial advisor to an $800 million bank on structuring its exit from Treasury’s TARP program
  • Worked with a private equity fund to position it as a financing partner to more than ten community banks seeking to exit TARP
  • Exclusive sell-side advisor to a closely-held $300 million community bank on a sale that included distressed assets as consideration and tiered earn-outs
  • Financial advisor to a troubled $200 million community bank on its $17.5 million private equity-led recapitalization

Charles R. Crowley, Managing Director

Mr. Crowley has more than 30 years of experience in serving the financial needs of community banks, including 25 years in investment banking. He specializes in capital raising and in providing merger advisory services for financial services companies. He has successfully advised clients on dozens of transactions through various market cycles.

Prior to joining Boenning & Scattergood in January 2013, Mr. Crowley was a Managing Director & Principal with Paragon Capital Group / ParaCap Group in Cleveland. He had prior experience with full service investment banks including Stifel Nicolaus / Ryan Beck, Friedman Billings Ramsey (FBR) and McDonald & Company Securities, Inc.

Mr. Crowley earned a Bachelor of Science degree in Economics with a concentration in Accounting, as well as an MBA in Finance, from the Wharton School of the University of Pennsylvania. He holds the Series 7, 24 and 63 licenses. He is a board member of Junior Achievement of Greater Cleveland and of the Wharton Alumni Club of Northeast Ohio, and he is involved in coaching youth baseball.

Representative transactions include:

  • Advised a community bank with a $1.2 million pre-deal market capitalization on obtaining a $5 million TARP discount and completing a $22.5 million recapitalization transaction
  • Advised an $870 million community bank on a debt restructuring and completion of a $30 million rights offering
  • Advised a $2 billion bank on a branch divestiture transaction and an equity private placement in order to strengthen its capital ratios
  • Advised a $1.3 billion bank in its $202 million sale to a $4.0 billion bank, followed by a divestiture of several branches
  • Advised a couple of small community banks that might have otherwise failed on M&A transactions

Mr. Hull serves public and private companies with merger and acquisition advice, public offerings, private placements of debt and equity securities, and other financial advisory services. He has experience in evaluating and structuring merger and acquisition transactions, performing valuations of financial assets and related concerns, rendering fairness opinions and raising public and private capital.

Mr. Hull is a founding member of Boenning & Scattergood's investment banking practice, which was created through Boenning & Scattergood's acquisition of Berwind Financial, L.P., in November 2001. Berwind Financial was the investment banking arm of Philadelphia-based Berwind Group, a large, diversified family-owned holding company. Boenning & Scattergood’s purchase of Berwind Group’s practice launched its expansion into investment banking. Prior to joining Berwind Financial in 1995, he held various management positions with First Fidelity Bank, a former New Jersey-based regional commercial bank.

During his career, Mr. Hull has advised on more than 100 investment banking transactions representing in excess of $4 billion of transaction value. In addition, he has provided more than 60 fairness opinions to corporate boards and/or shareholders on transactions ranging from buy-side and sell-side mergers and acquisitions to capital restructurings. He has worked with clients in a multitude of industries including specialty chemical, retailing, consumer products and hospitality. A particular area of expertise is advising companies operating in the financial services industry, with emphasis on banks and thrifts. In addition to his work with banks and thrifts, Mr. Hull also has worked with companies in the asset management and insurance related sectors of the economy. Boenning & Scattergood’s broad-based financial services practice is consistently among the most active in the region by volume of advisory transactions.

Mr. Hull earned his BA from Colgate University. He holds the Series 7 and 63 licenses.

Representative transactions include the following:

  • Advised publicly traded regional bank in a $400 million sale to national financial services institution, providing fairness opinion to its board of directors
  • Advised ownership of specialty manufacturer and distributor of industrial products in its sale to a NYSE-listed competitor
  • Advised privately held owner of a forty-two store, franchise-based restaurant chain in a recapitalization
  • Advised community-focused commercial bank in its $40 million merger
  • Advised closed-end bond fund in a $22 million rights offering

Anthony A. Latini, Jr., CFA, Managing Director

Mr. Latini has over 20 years experience providing corporate finance and investment banking services to middle market and large corporate clients. He focuses on merger and acquisition advisory services and capital raising for clients in a variety of industries. His merger & acquisition transaction experience includes approximately $2 billion in transaction value and he has assisted in raising in excess of $500 million in debt and junior capital. Tony has significant experience working with financial services modernization, working with insurance companies, banks and agencies as segments of the industry converge.

Prior to joining Boenning & Scattergood, Mr. Latini was Managing Director of Curtis Financial Group’s financial services industry group. He has also held positions at Berwind Financial L.P., a regional investment bank, Evans & Company, Inc., an equity buyout group, and CoreStates Financial Corp, a superregional commercial and investment banking company.

Mr. Latini received his Bachelor of Science degree in Economics with a concentration in Finance from the Wharton School of the University of Pennsylvania. He holds the Chartered Financial Analyst designation and the FINRA Series 7, 24, 63, and 79 licenses. He is past Chairman of the Archmere Academy board of trustees and an active board member of the Philadelphia Fire Department Historical Corporation.

Representative transactions include:

  • Advised a small cap specialty insurance company in its sale to a $2 billion market cap NYSE-listed insurance company
  • Advised a $700 million community bank in its market extending acquisition of a community bank
  • Advised a regional insurance brokerage company in the sale to a $3 billion market cap NYSE-listed brokerage
  • Advised a $1 billion community bank in the structuring and acquisition of an asset management and financial planning operation

James F. McCormick, CFA, Managing Director

Mr. McCormick is responsible for providing investment banking services, including mergers and acquisitions advisory, private placement and public markets services to the firm’s privately held and publicly traded clients. He has experience working with privately held companies throughout the Mid-Atlantic region.

He is a founding member of Boenning & Scattergood's investment banking practice, and has worked with public and private business owners on numerous merger and acquisition, and corporate finance transactions across a wide range of industries. Recent transactions that he has been involved with include working with clients in the health care, private education and building products sectors of the economy. Prior to joining Boenning & Scattergood, Mr. McCormick worked in the investment banking advisory groups of Griffin Financial, Berwind Financial and Brown Brothers Harriman. In addition, he brings to bear experience in the commercial banking sector, as he worked for the lending unit of the original CoreStates Bank. He also has industry operational experience as a former manager of financial planning and analysis for Traffic.com, Inc.

Mr. McCormick is a graduate of Pennsylvania State University and is a CFA charterholder. He holds the Series 7, 63 and 24 licenses.

Representative transactions include the following:

  • Advised privately held leading manufacturer of plastic nursery containers with annual revenues of $100 million in sale to private equity firm
  • Advised privately held manufacturer of custom and semi-custom homes to privately owned investment company
  • Advised one of world’s largest manufacturers of hot runner systems and related components to the plastics injection molding industry to private equity firm
  • Advised privately held taxidermy/target manufacturer in sale to private equity firm
  • Advised privately held company in education space in recapitalization of enterprise

Albert H. Swanke Jr., Managing Director

Mr. Swanke brings to Boenning almost 45 years of experience in insurance and related financial services management, investment banking, private equity and venture capital. Prior to joining Boenning & Scattergood, he worked in a financial management capacity for AIG (C.V.Starr), American Express, and CIGNA. Thereafter, he was a founding partner of Insurance Venture Partners, which sponsored several successful industry start-ups. Mr. Swanke helped raise two industry private equity funds for Firemark and has also been associated with Gill & Roeser and Millburn Capital/CVF Securities as a senior investment banker. He has been a private investor and co-founder of several businesses, as well as serving on related boards of directors.
 
Mr. Swanke earned a BA in Economics from Yale University and MBA in Finance from Columbia University School of Business. He served in the U.S. Marine Corps Reserve and as a Trustee of St. Francis College in Brooklyn, New York, chairing its Financial Affairs Committee.

He specializes in capital raising and in providing merger advisory services for financial services companies. He has successfully advised clients on dozens of transactions through various market cycles.

Prior to joining Boenning & Scattergood in January 2013, Mr. Voinovich was a Managing Director & Principal with Paragon Capital Group / ParaCap Group in Cleveland. He had prior experience with full service investment banks including Stifel Nicolaus / Ryan Beck, Friedman Billings Ramsey (FBR) and McDonald & Company Securities, Inc.

Mr. Voinovich earned a Bachelor of Science degree in Marketing from John Carroll University. He holds the Series 7 and 63 licenses.

Representative transactions include:

  • Advised a $600 million community bank on the acquisition of a $500 million target and assisted in the placement of financing in the form of the issuance of $2.5 million of subordinated notes and $9 million of common equity
  • Advised an $106 million community bank with a ratio of over 30% NPA's/Assets in a $14 million recapitalization
  • Advised an investor group on the acquisition of a bank coupled with a simultaneous $26.2 million equity raise and the acquisition of $171 million of assets from another institution
  • Advised a $1.3 billion bank in its $202 million sale to a $4.0 billion bank, followed by a divestiture of several branches
