Mr. Cox is one of the principals of the merger and acquisition advisory services team at Boenning & Scattergood. He has experience working with privately held companies in the sales of their businesses to strategic buyers and private equity buyers in a wide range of industries.
Prior to joining Boenning & Scattergood, Mr. Cox was responsible for Citigroup Capital Strategies’ merger and acquisition activities in the Mid-Atlantic region. At Citigroup, he focused on transactions in the valuation range of $20 to $200 million and working with privately held businesses that were owned by families seeking to exit their businesses for liquidity purposes. In his 19 years of experience, he has closed more than 60 middle-market transactions with total transaction value of $4 billion. Prior to working with Citigroup, he was with the former Geneva Company, focusing on middle-market transactions throughout the country. Prior to entering the investment banking field, Mr. Cox was a principal of a family-owned business located in the southwest.
He is actively involved in all phases of Boenning & Scattergood’s merger and acquisition advisory services. Mr. Cox’s experience has crossed all major sectors of the economy and includes stock and asset sales, tax-free mergers, poolings, leveraged recapitalizations and management buyouts.
Mr. Cox is a graduate of the University of Texas, where he earned both his BS and MBA degrees. He holds the Series 7 and 63 licenses.

Mr. Hull serves public and private companies with merger and acquisition advice, public offerings, private placements of debt and equity securities, and other financial advisory services. He has experience in evaluating and structuring merger and acquisition transactions, performing valuations of financial assets and related concerns, rendering fairness opinions and raising public and private capital.
Mr. Hull is a founding member of Boenning & Scattergood's investment banking practice, which was created through Boenning & Scattergood's acquisition of Berwind Financial, L.P., in November 2001. Berwind Financial was the investment banking arm of Philadelphia-based Berwind Group, a large, diversified family-owned holding company. Boenning & Scattergood’s purchase of Berwind Group’s practice launched its expansion into investment banking. Prior to joining Berwind Financial in 1995, he held various management positions with First Fidelity Bank, a former New Jersey-based regional commercial bank.
During his career, Mr. Hull has advised on more than 100 investment banking transactions representing in excess of $4 billion of transaction value. In addition, he has provided more than 60 fairness opinions to corporate boards and/or shareholders on transactions ranging from buy-side and sell-side mergers and acquisitions to capital restructurings. He has worked with clients in a multitude of industries including specialty chemical, retailing, consumer products and hospitality. A particular area of expertise is advising companies operating in the financial services industry, with emphasis on banks and thrifts. In addition to his work with banks and thrifts, Mr. Hull also has worked with companies in the asset management and insurance related sectors of the economy. Boenning & Scattergood’s broad-based financial services practice is consistently among the most active in the region by volume of advisory transactions.
Mr. Hull earned his BA from Colgate University. He holds the Series 7 and 63 licenses.

- Advised publicly traded regional bank in a $400 million sale to national financial services institution, providing fairness opinion to its board of directors
- Advised ownership of specialty manufacturer and distributor of industrial products in its sale to a NYSE-listed competitor
- Advised privately held owner of a forty-two store, franchise-based restaurant chain in a recapitalization
- Advised community-focused commercial bank in its $40 million merger
- Advised closed-end bond fund in a $22 million rights offering

Mr. Hurly serves public and private companies with merger and acquisition advice, public offerings, private placements of debt and equity securities, and other financial advisory services. He and his team have a specific expertise in assisting firms with highly strategic transactions, difficult capital raisings and restructurings. With previous experience at both bulge bracket firms as well as specialized boutiques, Mr. Hurly brings unique experience to bear on behalf of his clients. Through extensive industry relationships and global transaction experience in China, Japan, Australia, the European Union and North America, Mr. Hurly and his team provide tailored solutions and insight to assist clients in reaching their strategic goals.
Mr. Hurly joined Boenning & Scattergood Inc. in 2008 as a managing director. Prior to joining the firm, he was a managing director at Janney Montgomery Scott. His previous investment banking experience was with Hambrecht & Quist in San Francisco, California where he closed more than 30 public and private financings, as well as mergers and acquisitions transactions.
Previously, Mr. Hurly worked at JP Morgan and UBS Securities in New York City. He has completed more than 100 deals with an aggregate value in excess of $10 billion and raised more than $400 million in capital. He earned his BS in Engineering from Swarthmore College and his MBA from the University of Chicago.
He holds the Series 7 and 63 licenses.

William S. Malarkey, Managing Director

Mr. Malarkey is responsible for investment banking activities in the rapidly expanding water and environmental sectors of the economy. With more than 16 years of experience in international utilities and infrastructure markets, his experience in the areas of strategy development, mergers and acquisitions, and project finance is brought to bear with the firm’s privately held and publicly traded clients.
Prior to joining Boenning & Scattergood, Mr. Malarkey headed business development efforts for an affiliate of Wexford Capital LLC in the water and environmental sector. He also served as vice president of business development at American Water, the largest investor-owned water utility in the U.S. that was previously owned by German based RWE. At American Water, he was responsible for all merger and acquisition activities and joint ventures, along with managing major client and partner relationships. Prior to that, he held senior merger and acquisition, and corporate development roles with the German utility groups RWE and E.ON. He also has worked as a management consultant and attorney in the utilities and infrastructure sectors.
His professional affiliations have included terms as an advisory board member for the Urban Water Council of the U.S. Conference of Mayors, and as vice chairman of the Water Institute of the National Council for Public-Private Partnerships.
He earned his BS and JD degrees at Georgetown University, and holds an LL.M. degree from the University of Heidelberg in Germany. He holds the Series 7 and 63 licenses.

- Led acquisition of a publicly traded UK water/wastewater utility and international water services provider by a European utility group
- Led acquisition of a publicly traded domestic water/wastewater utility by a European utility company

- Advised sale of a manufacturer of water and wastewater filtration equipment by a water services provider to a middle-market private equity firm
- Managed MBO of a water and wastewater treatment systems and equipment manufacturer with two Texas-based private equity firms

Mr. McCormick is responsible for providing investment banking services, including mergers and acquisitions advisory, private placement and public markets services to the firm’s privately held and publicly traded clients. He has experience working with privately held companies throughout the Mid-Atlantic region.
He is a founding member of Boenning & Scattergood's investment banking practice, and has worked with public and private business owners on numerous merger and acquisition, and corporate finance transactions across a wide range of industries. Recent transactions that he has been involved with include working with clients in the health care, private education and building products sectors of the economy. Prior to joining Boenning & Scattergood, Mr. McCormick worked in the investment banking advisory groups of Griffin Financial, Berwind Financial and Brown Brothers Harriman. In addition, he brings to bear experience in the commercial banking sector, as he worked for the lending unit of the original CoreStates Bank. He also has industry operational experience as a former manager of financial planning and analysis for Traffic.com, Inc.
Mr. McCormick is a graduate of Pennsylvania State University and is a CFA charterholder. He holds the Series 7, 63 and 24 licenses.

David C. Parke, Managing Director

Mr. Parke specializes in public offerings, private placements, fairness opinions, and mergers and acquisitions for emerging-growth companies, with a focus on the dynamic healthcare sector. His experience delivers a strong background in capital markets with an in-depth understanding of the issues particular to such companies.
Mr. Parke joined Boenning & Scattergood in 2006. Prior to that, he was with Mufson Howe Hunter & Company for three years, where he was instrumental in launching and developing the firm's emerging growth practice. He was previously with the corporate finance department of Investec, Inc. and its predecessor, Pennsylvania Merchant Group. Mr. Parke has managed or participated in 40 public offerings and private placements, raising more than $1 billion for emerging growth clients. In addition, he has managed mergers and acquisitions assignments ranging from $5 million to $500 million. Prior to joining Investec in 1992, he was in the corporate finance departments of Wheat First Butcher & Singer, now Wachovia Securities, and Legg Mason.
He has been a director of Petroleum Development Corporation, a publicly-traded natural gas exploration and production company, since 2003. He chairs the board's Finance and Planning Committee, and is a member of its Compensation and Audit Committees.
Mr. Parke received his MBA with Honors from The Wharton School of the University of Pennsylvania, and graduated summa cum laude and Phi Beta Kappa from Lehigh University with a B.S. in Finance. He holds the Series 7 and 63 licenses.

- Advised a biopharmaceutical company with its lead product current in Phase III clinical trials for pancreatic cancer in its recent registered direct offering
- Advised a pharmacovigilence services firm in its private placement of equity and mezzanine debt

James J. Ramp, Managing Director

Mr. Ramp is responsible for originating and executing public and private company transactions, including IPOs, follow-on offerings, private investment in public equity (PIPE) financings, private placements of debt and equity securities and other financial advisory services primarily in the energy/alternative energy and consumer space. He brings to Boenning & Scattergood more than 20 years of global transaction experience and expertise serving as a senior equity capital markets professional and investment banker in various sectors.
Prior to joining Boenning & Scattergood, Mr. Ramp was a managing director of Global Corporate Finance and Equity Capital Markets for Susquehanna Financial Group, a subsidiary of Susquehanna International Group (SIG), one of the largest options and equity trading firms in the world. Mr. Ramp built the practice using his prior experience of initiating and executing hundreds of transactions in the healthcare, technology, consumer, business services and alternative energy industries. It was during this time that he also established an investment banking presence in Asia through a newly created office in China and formed many valued alliances and strategic business relationships that still exist today.
Before moving on to SIG, Mr. Ramp was a managing director in Equity Capital Markets at SG Cowen and Company with responsibility for originating and executing transactions. He was actively involved in the healthcare, technology and media sectors. SG Cowen and Company expanded its business to the international markets and became one of the top healthcare and technology boutiques in the world.
Previous to SG Cowen, Mr. Ramp was hired to build a new research boutique, Gerard Klauer Mattison, founded by Manny Gerard. As an executive vice president, Mr. Ramp built the Syndicate Department and originated transactions in the media/entertainment, healthcare and technology industries. He was a member of the firm’s Management Committee and served on the Commitment and Capital Committees. Gerard Klauer Mattison was later sold to The Bank of Montreal (BMO) USA.
Mr. Ramp started his career in finance at Wheat First Butcher and Singer (now Wells Fargo Bank), where he worked in the office of the president, accounting department, corporate finance department and merchant banking division. He later became an assistant vice president in the Syndicate Department in charge of distribution to a 750 member retail sales force.
Mr. Ramp is a member of the Securities Industry Association, New York Bond Club and was chosen to serve on the National Syndicate Committee. He is a regular participant in financial round table discussions and holds the Series 7, 63, 24, 9 and 10 licenses.
